Setting up a company in Bosnia step by step
The practical steps for a foreign investor to set up a limited liability company in Bosnia and Herzegovina: name, notary, registration, tax number and bank account.
A foreigner can set up and fully own a company in Bosnia and Herzegovina. The procedure is not complicated, but it passes through several offices. These are the usual steps in the Federation of Bosnia and Herzegovina.
1. Choose the form and activities
Most investors choose a d.o.o., which can have a single owner. Some activities need extra licences.
2. Choose the name
It must not be in use by another registered company. Prepare two or three options.
3. Arrange the registered address
A lease or the owner consent for the address is required. See company address and office in Sarajevo.
4. Founding act at the notary
If you do not speak Bosnian, a sworn interpreter attends. A representative can act for you under a certified power of attorney.
5. Pay in the capital
The founding capital is deposited in a temporary bank account. The legal minimum can change, so ask at the start.
6. Court registration
The application goes to the competent municipal court. Companies with foreign capital are also registered with the Ministry of Foreign Trade and Economic Relations.
7. Stamp and tax number
After registration you obtain the tax identification number, and register for VAT if your activity or turnover requires it.
8. Bank account
Banks ask for company and owner documents and may ask about the source of funds.
9. Before trading
Register employees, and engage an accountant: a company must keep books and file reports even when inactive.
Does a company give residency?
Not automatically. Temporary residence is a separate application with its own conditions.
